The main urpose of current researc was to examine emprically the impact of accounting return, operational cash flows, companies size and companies growth rate on dividend pollicies and their implication on companies share prices. Population in this research was all companies listed at Jakarta Stock Exchange during observation period 1993 to 2003. 172 copanies were selecte by usin non-probability purposive sampling technique. Archival data, secondary data, were provided by pusat referensy pasar modal (PRPM – Indonesian Capital Market Reference Center ) Indonesia, BAPEPAM, and Pusat Dokumentasi Bisnis Indonesia ( Indonesian Business Dokumentation Center ), and Indonesian Scurities Market Database (ISMD) PPA UGM. The result showed that: 1) accounting return, companies size, and growth rate had impact on companies dividend policies, 2) accounting return, operational cash flow, comaies size and companies growth rate and dividend policies had impact on share prices.
