Policy network in policy formulation of overcoming floods and rob (floods because tide sea-water) in Town of Semarang is a subsystem is formed by actors interaction of Team Subsistem, LSM, mass media, Kedungsepur, Bappeda and DPU Semarang Town of Semarang, JICA, JBIC and World Bank and also on Duty Kimtaru Province Central Java. Policy network between governmental, private and society actors is social investment which be of benefit to good governance and good corporate governance. Policy of overcoming floods and rob in Town of Semarang present Bappeda Town of Semarang as mediator actor complied inwrought drainage masterplan of elite opinion result among Governance of Town of Semarang, DPU Town of Semarang, JICA, JBIC and world Bank to become by law. Shareholders that is elite opinion formulation of policy more predominate forming of policy network than stakeholders. This policy network model cause the happening of refraksi of target. Researcher propose the using of policy network model entangling of shareholders and stakeholders for the reaching of policy target and importance of public.
